this has already been asked and answered here on the forum, do a search and check
it out. if the spectre of leaving your security in a FUBAR state of mind isn't a
tasy alternative, however, heres' something i found at another forum, i include it
in it's entirety:---->

Friends of a french forum have found a easy way to modify the boot logo in W2k, without
desactivave the system files protection...
It's easier and faster !!! And it's work in any W2k version (no SP, SP1 and SP2).
1-Modify th NTOSKRNL.exe as usual with Ressource Hacker...Save the file as "NTOSCHK.EXE".
2-Place it in the folder "c:\Winnt\System32\", leave the original NTOSKRNL.EXE in
the Sysytem32 folder...
3-Open the "boot.ini" file (it's in c:\boot.ini, if it don't appear, you have to
activate the option "display the protected
system files" in the "folder options" of your explorer.).
4-Add the command line at the "boot.ini": (after ".../fastdetect"),
/KERNEL=NTOSCHK.EXE
It must look like this (french version):
multi(0)disk(0)rdisk(0)partition(2)\WINNT="Microsoft Windows 2000 Professionnel"
/fastdetect /KERNEL=NTOSCHK.EXE
5-And reboot...
HO HO !!!!!!!!!!!!
Now anytime you want modify your logo You just overwrites the "NTOSCHK.EXE" in the
system32 folder.
This stuff is use by professionnals, when they want a customize the logo for a big
company...and other stuff more usefull, off course !
It's easy, faster and safer...
