IF you have win2k on a different partition, delete that partition, use a startup disk to boot into dos, type sys c: a:, then load up the win2k disk, and install and choose upgrade. If win2k is on the same partition, just delete the winnt folder, do the startup disk thing with sys c: a:, then do the installtion upgrade.
