Dude. I've been running 2000 Pro SP3 for a very long time. I just recently starting having this very exact same problem. I betting my money it has something to do with the DUN, or related. The only change in my system is a new WinModem. I'm tempted to unistall it and see what happens. I've tried turning off all the services, and the SERVICES.EXE still stays at 99% CPU usage.
