I think I’ve narrowed it down to a Linksys USB network adaptor (shuts down fine when I unplug it). I tried turning off PME wake up in the BIOS, it didn't work I guess because its USB. I also tried the reg edit posted earlier and it didn't work either. No errors in the event viewer. Linksys was no help, any ideas are welcome. Thanks.
