Very similar o/s - XP has different look and feel (though can be made to look like 2k), and being newer will be supported a bit longer and has support for more stuff. XP uses more resources to run than 2k (so older machines better with 2k) - but both need a fair bit of memory (RAM) to run well - 256MB IMO. XP - especially after SP2 - has better security.
