Yes, to how the upgrade works.

Yes, to the question about if the upgrade has everything the full license has.  They 
are the same edition of the OS, just a different licensing scheme.  Think of the 
Upgrade as a "returning customer discount," in this case Microsoft is giving you 
a "discount" for having a previous installation of Windows.
