The Video Card does sound pretty out dated, you didn't really post enough about the rest of the Hardware.

My own Minimum Requirements for 7 after my own tests, not MS, are a least a Dual Core processor, a Motherboard with the newer PCI express slots for a quality DirectX 10 Video Card, and at least Couple Gigs of Ram.

Personally I think any older Motherboards with the AGP Video Card slots should keep with Windows XP.
