I would check out the new intelipoint software at microsoft's support site. This link to Microsoft Intellipoint Software should give you the right version of the softare and the FAQ that talks about the F-Lock key. I would try that before you upgrade. Windows XP Pro would be a good choice provided you have a computer that will handle it. Take care and good luck.
