Did you disconnect all of your peripherals, printers and modems, etc. before attempting the upgrade? Was the drive cleaned of junk files before upgrading? (Delindex.bat or CCLeaner) Is the 2000 upgrade CD scrupulously clean and free from scratches, especially on the label side?
