Shut down box problems come from two places, the settings in Windows' Control panel and the settings in the CMOS Memory Setup screens otherwise known as the BIOS. Set both of those the way that this computer needs them to be and then remove all items having to do with Power Management under System Devices in the Device Mangler tab of System Properties of My Computer. Reboot to allow Windows to redetect the new items with their new settings and then you should be at step one for the very first time.

Repost any other problems. Are you aware that many Laptops have unique Windows versions that often can't/won't run on any other machine? This due primarily to custom drivers for CD-ROM drives, Power Management hardware, LCD displays, on and on and on. There won't be any usable solution or workaround if this is your real underlying problem - you can then only restore your OS from the Restore CD for your particular Laptop.
