Win98 will not complete install-insufficient memory to initialize windows?

Help please from someone smarter than I am.
I wiped both hard drives ( 120 mB) and tried to install Win98 upgrade to run some
old software titles. I have Windows 3.11 disks I use for Compliance Verification.
The problem is every time Windows goes to "start for the first time" after the first
half of the install it crashes with an error "Insufficient memory to initialize Windows,
try removing some TSR programs or remove utilities from your autoexec.bat or config.sys
files".
First, I have tried installing with minimum autoexec.bat and config.sys. I have run
FDISK and Format on the drive more times than I can remember. I found post about
Win98 not liking drives above 60 GB, so I tried to partition my drive into smaller
sizes and even installed a 13.2 GB hard drive and used it, neither worked. I tried
copying the Win98 files to the hard drive and install from there, again with boot-able
disk with minimum set up- does not work.
I tried making the CD ROM drive boot-able in BIOS setup, didn't work. I tried turning
off all unnecessary hardware in BIOS setup, didn't make a difference.
I get same message when I try and install Win95. I can install my old DOS 6.22 and
Win 3.11 with no trouble but can't seem to get to Win98 from there?
Saw post about FDISK version supplied with Win98 being incorrect version/type so
went to link provided in post and got fix, but will not work in DOS mode ( figuring
out a lot of programs won't work in DOS mode, which is hampering my efforts).
Found post about RAM possibly being corrupted, so downloaded to floppy tester program
( mtinst.exe) and ran it on my system. No errors found.
OK so now for my hardware:
I have ASUS P5N32-SLI SE Deluxe running Pent 4 Core 2 6600 @ 2.4 GHz.
I have 2 Gb DDR2 RAM.
My BIOS is most current version 0901 according to ASUS web site.
Hard drives are WesternDigital.
CMOS battery has not been changed but not seeing CMOS errors to indicate trouble
( BIOS setting not changing on there own, etc.)
Something seems to be gobbling up the memory used for Windows install, but I'm pulling
my hair out trying to figure out what or how it is doing it. Been a long time so
my editing of Autoexec.bat and Config.sys skills are rusty, but I can get them edited
so there is minimum install.
All ideas and comments welcome. I'm just about out of ideas.
