It could be as simple as a damaged sound file... not at all uncommon with Win98/Win98SE.
Sound files are very small and can become corrupted very easily - doesn't take much...
just shutting down Windows improperly can damage these sensitive file systems. Try
this and tell me if it works: Go to your Control Panel and double-click on Sounds.
Look for the box Exit Windows and either turn off the sound or pick another sound.
Wouldn't it be nice if all Windows problems were this simple?

Try going to start-regedit-and then do the following..
Add the string Shutdown and give it a value of 2
Then give the FastReboot a value of 2..
Reboot..it should work!
[HKEY_LOCAL_MACHINE\System\CurrentControlSet\control\Shutdown]
"FastReboot"="2"
"Shutdown"="2"

We have found that running 4 patches from microsoft seems to fix the
problem with shutdown in 90% of the cases. I tried to copy them to
this response but I could not. I will give you the file names and you can
search the MS kb for the files. All four files should be run. 1)239887USA8.exe,
2)253711usa8.exe, 3)260067usa8.exe, 4)shutdowndelay.reg.

After reformatting my computer, I experienced the same problem. I tried holding down
"shift" when clicking "shutdown," I tried hitting "enter" during the freeze window
to wake it up, I tried jigging with the sound files.
Eventually, I unistalled Tiny Personal Firewall, which was something new I tried
using after reformatting my computer.
After uninstalling it, I tried shutting down the computer, with no change, it still
froze. However, once I rebooted my system, I tried restarting, this time it worked,
once it fully loaded, I tried shutting down, and that worked. So, it would appear
that (a) the firewall was the problem, and (b) it took one full rotation of shutting
down before all of the changes took effect.
Everything is fine now, so I'm off to try downloading another copy of this firewall
and try it again.

I went through every list of fixes and troubleshooting tips I could find on this
problem, and nothing seemed to work on my system. Finally, in what I can only describe
as a fit of desperation because it was driving me nuts, I did an "install new hardware"
search looking for non-PNP devices. And Windows found one. After rebooting and
letting it reinstall virtually everything on the system, from the CMOS clock on up,
it now shuts down (and off) with no problem. Boots faster, too. I thought I'd mention
this because I haven't seen it in any of the troubleshooting tips.
