Isn't it listed in Add/Remove programs, so you can uninstall it? To keep it from running, in some versions there are a couple entries you need to select. Start MSN Messenger and go to tools - options. Under the preferences tab, uncheck both to have it "run when Windows loads", and "allow this program to run in the background."
