You are getting a shutdown hang. This is often caused by backlevel device drivers
or Malware programs that do not shut down correctly.
The easy thing is to clean up the system, scan it for virus or other Malware,
remove unneeded programs and update all of the Device drivers to the latest Windows
ME versions from the different hardware vendor sites. The hard way is to follow Microsofts
proceedures for tracking down the cause.
