O.S. Won't Install

I am attempting do an "overlay" install of ME over the existing O.S. I can't do a clean re-install! Anyway, when it gets to the part where it attempts to save existing system files, it gets about 85% complete and I get the following mesage: "Windows cannot backup your system files. Setup will end now!" Any ideas to get past this issue will be appreciated.
