Walter, 

I have a Dell Dimension 4100, 1 Ghz machine that's similar to yours (just a little 
older). It also has Win ME. 

I've considered upgrading my 4100 to Win XP too but decided against. The machine 
runs just fine as it is so I don't want to risk screwing things up. Heard too many 
nightmares about upgrading. 

I've also got two newer Dell's, plus my wife's got one.  All three came with XP-Pro 
pre-installed. They all run fine with XP but I don't see that big of a difference 
in normal day-to-day use. I still use my old 4100 more than the new ones even though 
it has a slow processor and less memory. 

Unless you've had big problems with your system I'd suggest returning XP. You'll 
save yourself some money and avoid potential headaches.
