NDIS.VXD and NTKERN.VXD could not load the device driver (code 2) ... Belkin FSD7050 wireless USB reciever

Basically, as it is said in the subject bar..
I've tried installing my Belkin FSD 7050 USB wireless reciever on my Windows ME system.
(note; i have owned this reciever a few years now and it has worked effortlessly
on 98,98se,XP home/Media and Vista.... why M.E?)
But there's always a problem with the driver (and before any smart asses say reinstall
the driver, im smart enough to try that).
Okay, here's the deal, the error state i get is as follows
The NDIS.VXD, NTKERN.VXD device loader(s) for this device could not load the device
driver (Code 2.)
To fix this, click UPDATE DRIVER to update the device driver.
(again note; i have tried updating the driver, no luck)

This is where i tried getting technical, knowing that the FSD7050 runs off several
versions of the same drivers
rndis.sys
rndisk.sys
and so on, i tried renaming all the appropriate drivers to rndism.sys (as the m stands
for millenium as im led to believe)
But alas, i still have problems with the drivers..
please can someone help me, and fast.
Ive tried everything, even removing and adding TCP/IP clients..
Im at my end, and not even the Belkin Manual covers troubleshooting drivers that
