It can be a lot of different things causing the problem. First you could disable fast shutdown by going to Start - Run - type: msconfig. Under the Advanced tab tick "disable fast shutdown". Another problem, mainly in Me is a damaged exit sound file. Go into your sound applet and reselect an exit sound.
