O.S. Won't Install

I am attempting do an "overlay" install of ME over the existing O.S. I can't do a
clean re-install! Anyway, when it gets to the part where it attempts to save existing
system files, it gets about 85% complete and I get the following mesage: "Windows
cannot backup your system files. Setup will end now!" Any ideas to get past this
issue will be appreciated.

You could try just a inplace install. Nothing is backed up, but nothing is deleted
either. ME will just install over the top. Usually system files will be fixed, and
User Data stays intact. This won't Fix a Virus infected Computer, but will usually
fix minor Windows problems.

Insert your Windows ME CD when Windows is running, and start the install.

Steve, my main question is: when windows asks if I want to save system files, what
do I answer?

I don't ever remember seeing that message, so I'm not sure what you are doing differently.

Steve - yes, that message occurs every time. Since backing the system files is what
stops the setup, I guess I should opt not to save them when asked. Again, will not
saving system files have any negative affect? I just don't want to lose any existing
data!

If you are using a a Windows ME CD, or the setup.exe file in the cab files of Windows,
then your data should be fine. If you are using a System Restore CD from the Manufacture
of the Computer, then I don't know. The System Restore CD's will sometimes format
the Computer, but the one I have used you needed to boot to them for that to happen.
I have my data always backed up. so the few times I have tried a inplace install,
I never really worried. Things can go bad when messing with Computers, so the do
at your own risk always applies.
