OK, your computer definitely will run XP without hiccups.
A 2.8ghz proc should be able to run Vista, you have the HD space. But the current (and likely final) minimum memory requirement is 512mb. The minimum memory requirement for XP is 128mb, comfortably at 256, and nowadays 512mb is considered comfortable.
So, what will Vista bring you? Depending on your GPU, unless it's very new, it will not run the Aero Glass interface. It promises to be a lot more secure.
Bottom line? If you're comfortable upgrading, consider Vista. Otherwise, I say XP is a great OS. Almost anything is better than ME (personal experience) :)
