There is a program or driver that is not allowing Windows to shut it down.
Update all the drivers (if available) for your PC from the manufacturers web site.
Check for updates for any installed programs.
Go to Start/Search, and type in "msconfig.exe". Open it and go to the Startup tab. 
Uncheck everything except your anti-virus and any device drivers (i.e. touch pad, 
etc.).
You can also go to:
http://www.blackviper.com/
and check out his Vista Services guide.
This guide will help you determine which Vista services you can safely disable.
