Upgrade from 98 hangs with blank screen after 1st restart

My upgrade (from 98) hangs up after the first restart. I briefly see the XP logo
screen before it goes blank after which nothing responds. I have tried everything
I can find to solve this. I have unplugged everything from my (new AMD Athlon) PC
except the graphics card (GeForce2 MX200), CD-ROM and hard drive. I have disabled
the USB and on-board sound and changed the AGP rate to 2x. I have copied the I386
folder to my hard drive and started the setup from there. I have unplugged the CD-ROM
and limited the boot drives to just the HDD. All these possible solutions have been
suggested to others in this forum, but don’t appear to work for me. I have tried
booting from the CD when the screen is slightly different (a blue background), but
the result is the same - it hangs while "setup is starting Windows".
I have then formatted the HDD and re-installed 98 and tried it all again. Several
times. It shouldn’t be this difficult, should it ? Can anyone suggest the definitive
solution (apart from returning the Windows XP upgrade and getting my money back!)
