Windows Start and Turn off problems

My system has these components (all new):
Gigabyte 7XDR main board
Athlon XP 1700+ processor
512 MEG 2100 DDR RAM
Windows XP Professional
Office XP Professional
Norton Antivirus 2002
U.S. Robotics Performance Pro Modem model 3CP5610A
XTASY video accelerator 5564
400 watt power supply
I have several problems;
1) The Windows XP Pro takes about five minutes to boot up. It is also slow shutting
down, but not that slow. I find no variable that will change this.
2) With the U.S. Robotics modem installed, the system will not turn off. If I go
through the start button to turn off through Windows or if I push the power button
on the case, the same thing happens. It will go through the process of shutting
off, but at the completion of the turn off process, the system automatically commences
the start process and re-starts. The only way to turn it off is to pull the power
cord or turn off the power at the surge protector. Then the modem is removed from
the main board, the system will turn off OK. Windows XP will not accept the drivers
on the modem CD as better than the default Windows XP drivers. The U.S. Robotics
support site does not list drivers for Windows XP for this modem. I have tried two
different, new modems and have tried three different PCI slots on the main board
with the same result.
3) When I go through the start button and try the stand by option, Windows shuts
down, but the fans in the computer case continue to run. I do not know if that is
how it is supposed to work or not.
I tried solving per suggestion in this forum to change your system properties and
un-check the "Automatically re-start" tab (Control Panel -> System -> Advanced, then
click on the Start-up and Recovery Settings button) but system still re-started automatically
when I tried to turn off through start button.
