In cmos (your bios setups), go to the power managment setups for your motherboard,
there disable everything you can, set the power switch options to disable also.
You can tweak with this stuff later, anyway, this is what it was on my FIC P4 mb
with an intel 845 chipset. Most frustrating, but that fixed the rebooting problem,
now it shuts down properly.
