I had the same problem, tried all sorts of troubleshooting routines with no luck.
Searched through all of the arcane and hard to find settings in the system, found
one that fixed the problem.
The solution (that worked for me):
>Go to Control Panel, open System
>On the "Advanced" page, in the "Startup and Recovery" section, click on "Settings."
>On the resulting page, go down to the "System failure" section, uncheck the "Automatically
restart" setting.
After doing this, the next time I attempted to shut down I got an error message pointing
me to the corrupted system file that was causing the sytem to "restart on system
failure" instead of shutting down. Replaced that file, no more problems since.
