I found the problem and the solution.
After much headaches, found out that the boot.ini file is the cause of the problem.
Somehow it was deleted on my machine (but XP can act otherwise).
Solution: Boot from XP CD. Select Repair console.
change to C:\ directory
run a command called bootcfg
C:\bootcfg /scan
Then run
C:\bootcfg /add
select from the list
C:\bootcfg /default
select from the list again.
You are done. reboot the machine and everything should come back to normalcy (well
pray too....)
