This pretty much applies to both AMD and Intel from what I've seen:
"Retail packaged" CPUs always come with a mfr-approved heatsink and fan assembly.
"OEM-packaged" CPUs are bare, CPU only.
Retail CPUs come in a nice box or plastic blister pack meant to displayed and appeal
to the eye and the end user; have a 3-year factory warranty to the end user; have
a mfr-logo sticker to put on the case; come with a decent heatsink and fan assembly
meant to be adequate for general computing loads; cost more than OEM.
OEM CPUs come in a cardboard and plastic tray-multipack of multiples of dozens; have
no "factory" warranty per se (although most dealers seem to warrant them for 90-days)
to the end user; are married up by the OEM with a heatsink-fan combo that can range
from ultra-cheesy to state-of-the-art, at extra cost; are cheaper per-unit that Retail
chips.
