I also tried almost everything and I'm echoing Jessie - definitely a Microsoft issue. After installing SP2 AND the latest driver for my network card, I finally got it to work. Why then, I don't know. Every other computer in my domain upgraded just fine without this hassle; and more than one is using the same card and configuration. My suggestion - try everything, but start with the latest SPs, drivers, and disabling ICS. Good luck!
