Wow.. there are many many things that might cause this.  It's  things like this that 
really annoy me about windows.

I just did a complete re-install of windows xp pro - and started having this problem 
1/2 way through re-installing all my programmes.  

First I tried renaming the files to whatever.old  - didn't work

Then I tried unregistering and then reregistering msiexec.exe - didn't work

Then I tried doing the same thing in safe mode - didn't work

Then I tried starting the windows installer service and setting it to automatic from 
manual -  didn't work

Then I tried disabeling dcom service process launcher - didn't work


Finally.. I un-installed Service Pack 2 .. and Voila!  I was able to install anything 
I liked.    it worked!  .. it was obviously a fault with the sp2 install.  I'm re-installing 
sp2 now and hopefully it will continue to work.
