Did you do a repair reinstall - http://support.microsoft.com/default.aspx?scid=kb;en-us;315341?

If so, you'll need to reapply service packs and visit windows update.

Also, you may have virus/spyware/malware. I'd definitely run complete scan with AV 
app and at least 2 good anti-spyware apps (eg, spybot, adaware, MS antispyware)
