Modem recognition & installing XP

My wife's PCI-HSF modem died and I bought a new one.

I cannot get Windows 98 SE to recognize it to save
my life!

I went to the Win 98 Forum, but no one was of any
help, really.   I changed to the latest drivers, changed
to different PCI slots, and loaded and reloaded to get
the system to go to COM 3, all to no avail.

I am fed up with Windows 98 SE….!

Question 1.

I have Windows XP and now want to ask if XP would
give me less problems with Modem Installation ?

Question 2.

Can I load Windows XP right over the Windows 98 SE 
operating system w/o uninstalling Win 98 ?

This is on my wife's machine (I am sending this on my
Win 98 SE machine which has no problems…yet) and
she has so darned much on her HD that I would not want
to have to reload all that stuff…!
