If the computer came with XP preinstalled from a systembuilder or manufacturer, you 
are permitted to transfer the installed copy (an OEM license) for XP to a new motherboard 
ONLY if the motherboard is being replaced because it is defective.

If you are replacing the motherboard for performance or feature reasons, then in 
terms of the license you are moving the license to a new computer which is not permitted 
with an OEM license.

If the installed XP is a retail upgrade or full product (it would have been purchased 
in a nice pretty retail box that you would expect to find on a store shelf), then 
the above does not apply---you are allowed to move a retail license from one computer 
to another.
