Rebooting loop even before xp starts up, suspect graphics / memory or simply a CMOS setting!?

My P3 intel 82815 (1300Mhz, 128mb winfast 32 128mb geforce, 512mb ram) has a reboot
loop even after setting the CMOS to Fail-Safe and disable a few peripherals such
as usb, parallel, serial, video & bios cachable. As soon as the 2nd screen came up,
it reboots. I reset the ESCD and everything seemed fine until in windows xp (even
tried reinstalling Win98SE-same problem), I click on display properties/settings
and change the resolution or even when I sometimes click on start->programs->accessories!
Tried to install Sims 2 and even during installation it REBOOTS! Ran a full diagnostics
program to test...all tested okay, except for when testing video and the whole screen
flickers testing I think "refresh rate/speed" (even with the built-in 82815 graphics
chip) and REBOOTS!!. Despite all this, what I have found odd, is that when I install
a 256mb ram together with the 512mb ram it still only says 528mb on system startup.
(Have tried several memory cards in the different banks-same problem). Installed
another M/Board with the same HD, Memory, power supply and no problems at all. CPU
running normal temp. Can someone assist me, please?
