The OEM version is cheaper, no manual or anything. just cd and cd key to activate,
no support from microsoft. Upgrade version is when you have a earlier version of
windows already installed, its just a little more money than the OEM version, includes
support from microsoft and cdkey to activate. The retail version has manuals and
support from Microsoft, basically for new systems. Most people just buy the OEM
version to save money.
