Dial up modem, ethernet adapter conflict

I am running Windows XP Pro. I have a PCI dail up modem and an integrated ethernet adapter. Both work fine and I can connect to the internet with either one. However, my dail up modem will only establish a connection if the ethernet adapter is disabled in the Device Manager. If the ethernet adapter is enabled (even if there is no cable plugged in to it) the dial up modem will dial and attempt to establish a connection with my ISP, then after a while it will finally say "verifying username and password," then a little while after that it will report an error that it "can not connect to the remote computer." Also, if the ethernet adpater is disabled and I am connected to the internet with the dial up modem, then enable the ethernet adapter, my internet connection stops working and then after a while the dial up modem will disconnect. Does anyone know how I can use both my dial up modem and ethernet adapter at the same time so that I can share my internet connection over a network? Thanks.
