"FILES" can be set in CONFIG.NT, which is usually found in C:\WINDOWS\SYSTEM32.  
However, the use of this file is a bit different than CONFIG.SYS of Windows 98.  
As I recall, it is only used when you run a DOS-like program at a command prompt 
(black windows with white characters).  But, remember that XP has no true version 
of DOS, so some things that worked under DOS will not work under XP.  There is a 
companion file called AUTOEXEC.NT in the same directory.
